Terms of Service

These terms are a plain-language agreement between you and Revenue Arc (“ArcBilling,” “we”) for your use of the ArcBilling service. By using ArcBilling, you agree to them. This is an early-access product and these terms will evolve; we are not a law firm, and this document is not legal advice.

1. What ArcBilling is

ArcBilling is white-label invoicing and recurring-billing software for agencies (“you”). You create and send invoices to your own clients under your own brand, collecting payment through your own Stripe account. ArcBilling provides the software; it does not itself process, hold, or disburse your funds.

2. Your account

You sign in with Google and are responsible for the activity of everyone you invite to your agency workspace. Keep your account secure and let us know promptly if you believe it has been compromised. You must be authorized to bill the clients you add, and you are responsible for the accuracy and legality of the invoices you send.

3. Payments, Stripe, and who bears what

Payments run on your own Stripe connected account as direct charges. This means you are the merchant of record: your Stripe account settles the funds, and you — not ArcBilling — bear Stripe’s payment-processing fees, refunds, and chargeback liability, exactly as if you used Stripe directly. Your use of Stripe is also governed by the Stripe Connected Account Agreement.

Your clients’ payment card details are collected and stored by Stripe, never by ArcBilling. We store only the resulting transaction references needed to reconcile your invoices.

4. Our fee

ArcBilling charges a platform fee of 1% of each payment collected through the service, applied automatically as a Stripe application fee at the time of payment. This fee is separate from, and in addition to, Stripe’s own processing fees (which you bear as the merchant of record). The platform fee does not apply to payments you record manually as received outside the service.

We may change the platform fee or introduce subscription pricing with reasonable advance notice. Continued use after a change takes effect means you accept the new pricing. Early-access pricing, where offered, applies only for the period stated at the time of the offer.

5. Acceptable use

Don’t use ArcBilling to send fraudulent, deceptive, or unlawful invoices, to bill people without authorization, to transmit malware, or to abuse the platform’s email or payment features. We may suspend or terminate accounts that do, and may cooperate with Stripe and law enforcement where required.

6. Availability and support

We work to keep ArcBilling available and accurate but provide the service on an “as is” and “as available” basis, without warranties of any kind. During early access, features may change and occasional downtime may occur. We are not responsible for outages, delays, or errors originating with Stripe, email providers, or other third parties.

7. Limitation of liability

To the fullest extent permitted by law, ArcBilling and Revenue Arc are not liable for indirect, incidental, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the service is limited to the platform fees you paid us in the three months before the claim arose.

8. Termination

You may stop using ArcBilling at any time. We may suspend or end your access if you breach these terms or if required to protect the service or comply with law. Your obligations to your own clients — and any funds owed between you and them — remain yours; ArcBilling is not a party to them.

9. Changes to these terms

We may update these terms from time to time. Material changes will be reflected in the “last updated” date above, and where appropriate we’ll notify you. Continued use after an update means you accept the revised terms.
